Welcome to ChiraKinetics. These 条款和条件 ("Terms") govern the sale of our 产品 and the provision of our 服务. By purchasing our 产品 or using our 服务, you agree to be bound by these Terms.

2. Orders and Acceptance

  • All orders are subject to acceptance by ChiraKinetics.

  • We reserve the right to refuse or cancel any order at our discretion, including but not limited to cases of inaccuracies, 定价 errors, or stock availability.

  • Orders cannot be canceled by the customer once accepted without prior written approval from ChiraKinetics.

3. 定价 and Payment

  • Prices are quoted in USD and are subject to change without prior notice unless otherwise stated in a written agreement.

  • Full payment is required prior to shipment or service unless credit terms are agreed upon in advance.

  • Accepted payment methods include Bank Transfer, Check, Credit Card.

4. Shipping and Delivery

  • Shipping costs are calculated at checkout and are the responsibility of the customer unless otherwise agreed.

  • Delivery dates are estimates and not guarantees. ChiraKinetics is not liable for delays caused by circumstances beyond our control.

  • Risk of loss passes to the customer upon delivery to the carrier.

5. Returns and Refunds

  • 产品 may be returned within 30 Days of receipt, provided they are unused, in original condition, and accompanied by proof of purchase.

  • A restocking fee of 40% may apply.

  • Custom or special-order items are non-refundable.

  • ChiraKinetics warrants that its 产品 and 服务 will meet the agreed specifications at the time of delivery.

  • 保修 periods vary by 产品 or service and are specified in the 产品 documentation or service agreement.

  • The 保修 does not cover misuse, improper 安装, unauthorized repairs, or normal wear and tear.

  • 服务 provided by ChiraKinetics, including calibrations and 维护, are subject to the specifications outlined in the service agreement.

  • It is the customer's responsibility to provide a safe and accessible environment for on-site 服务.

  • ChiraKinetics is not responsible for delays caused by the customer's failure to meet these requirements.

8. Limitation of Liability

  • ChiraKinetics is not liable for indirect, incidental, or consequential damages arising from the use of our 产品 or 服务.

  • Our total liability is limited to the amount paid by the customer for the 产品 or service that caused the damage.

9. Confidentiality

  • Any proprietary or confidential information disclosed by either party shall remain confidential and shall not be disclosed to any third party without prior written consent.

  • The customer agrees to comply with all applicable laws and regulations regarding the use and purchase of 产品 and 服务.

  • ChiraKinetics is not responsible for ensuring the customer's 合规性 with regulatory requirements.

11. Force Majeure

  • These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

  • Any disputes arising under these Terms shall be resolved exclusively in the courts located in Delaware.
